Terms of Service

These Terms of Service ("Terms") govern your access to and use of the VANGARD platform, software, and websites (collectively, the "Service") provided by VANGARD ("we", "us", or "our"). By signing up, you agree to these Terms.

1. Eligibility & scope of use

The Service is intended for licensed healthcare professionals and their staff. You must be at least 18 years old and authorised to practise medicine in your jurisdiction to create a VANGARD account.

2. Your responsibilities

  • You are responsible for keeping your credentials secret. You must enable multi-factor authentication.
  • You are responsible for the clinical correctness of every record you sign. VANGARD generates drafts; you are the medical author.
  • You must obtain valid consent before recording any patient consultation.
  • You must comply with all applicable healthcare privacy and clinical regulations (HIPAA, PHIPA, GDPR, MDR, etc.).

3. AI assistance — not medical advice

VANGARD's AI features are decision support, not decision making. AI outputs may be inaccurate or incomplete. You must independently verify every clinical claim before acting on it. VANGARD is not a medical device under FDA / EU MDR classification, and is not approved to diagnose, treat, cure, or prevent any disease.

4. Service availability

We target 99.9% uptime, but we do not guarantee uninterrupted access. We perform planned maintenance with notice. Real-time features (video, transcription) depend on third-party providers (LiveKit, OpenAI) and may be subject to their availability.

5. Fees, billing, and cancellation

Subscription fees are charged monthly or annually in advance. You may cancel at any time; service continues to the end of the paid period and is not refunded for unused time. We may change pricing with 30 days' notice.

6. Your content

You retain all rights to data you upload. We obtain only the limited licence necessary to host, transmit, and process your data on your behalf. We do not use your clinical data to train AI models.

7. Termination

We may suspend or terminate your account for material breach (non-payment, fraud, clinical misconduct) on written notice. Upon termination you can export your records for 90 days before they are deleted.

8. Disclaimer & liability cap

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. To the maximum extent permitted by law, our total liability is limited to the fees you paid for the Service in the twelve months preceding the claim.

9. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email at least 30 days in advance. Continued use after the effective date is acceptance of the updated Terms.

10. Governing law

These Terms are governed by the laws of [Jurisdiction]. Any dispute will be resolved in the courts of that jurisdiction.
